Welcome to RINGS Watch.

The terms “we,” “us” and “our” refer to BEE HOLDINGS LLC (Japanese registered name: 合同会社BEE HOLDINGS), trading as RINGS Watch.

Our store is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service (“Terms”), together with the policies referenced below, explain your rights and responsibilities when using the Services.

By visiting, accessing or using the Services, or purchasing a product from us, you agree to these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not access or use the Services.

SECTION 1 — ELIGIBILITY AND ACCOUNTS

By using the Services, you confirm that you are at least the age of majority in your place of residence or that you have permission from a parent or legal guardian.

To browse our store or place an order, you may be required to provide information including your name, email address, telephone number, billing information, payment information and shipping address.

You agree that all information you provide is accurate, current and complete.

If you create an account, you are responsible for keeping your login details secure and for activity conducted through your account. You must not transfer, sell or assign your account to another person.

SECTION 2 — PRODUCTS AND PRODUCT INFORMATION

We make reasonable efforts to display and describe our products accurately.

The appearance and colour of a product may vary slightly depending on your screen, device settings, lighting and photography.

Because natural wood is used in our watches, variations in colour, grain and texture are expected. These natural variations make each product unique and do not, by themselves, constitute a defect.

Product descriptions, specifications, availability and pricing may be updated from time to time. We may discontinue a product or limit the quantity available for purchase.

Nothing in this section limits any rights you may have under Australian Consumer Law or other applicable law.

SECTION 3 — ORDERS

Submitting an order constitutes an offer to purchase products from RINGS Watch.

An order is accepted when we send you an order confirmation and successfully process your payment.

We reserve the right to decline or cancel an order where reasonably necessary, including where:

A product is unavailable
Pricing or product information contains a genuine error
We reasonably suspect fraud or unauthorised activity
We cannot deliver to the address provided
The order violates these Terms or applicable law

If we cancel an order after payment has been received, we will refund the amount paid for the cancelled products.

Please review your order carefully before submitting it.

If you need to request a cancellation or address change, contact us as soon as possible at info@ringswatch.shop. We cannot guarantee that an order can be cancelled or changed after processing or dispatch has started.

Products purchased through our store are intended for personal or household use and must not be purchased for unauthorised commercial resale.

SECTION 4 — PRICES, PAYMENTS AND TAXES

Prices displayed on ringswatch.store are shown in Australian dollars (AUD) unless otherwise stated.

The price charged will be the price displayed when you submit your order, subject to the correction of genuine errors as permitted by law.

RINGS Watch offers free tracked shipping to addresses within Australia.

Applicable taxes will be included in the displayed price or calculated at checkout where required.

International shipments may be subject to customs duties, import taxes or other government charges. Charges not collected at checkout are the customer’s responsibility, as explained in our Shipping Policy.

Promotions, discount codes and special offers may be subject to separate conditions and may be changed or withdrawn at any time before an order is placed.

You agree to provide accurate and complete payment and billing information and confirm that you are authorised to use the payment method provided.

SECTION 5 — SHIPPING AND DELIVERY

Orders are carefully packed and shipped from Japan.

Orders are normally prepared and dispatched within 2–3 business days after payment confirmation.

Orders are generally shipped using Japan Post EMS or another reliable tracked international delivery service.

Estimated delivery to Australia is approximately 7–14 business days from the date of order, including processing time. Delivery times are estimates and are not guaranteed.

Customs processing, severe weather, public holidays, carrier disruptions and remote delivery locations may cause delays.

After dispatch, we will send tracking information to the email address provided with your order.

Nothing in this section excludes or limits our obligations regarding delivery under applicable consumer law.

SECTION 6 — RETURNS, REFUNDS AND EXCHANGES

RINGS Watch does not accept returns, refunds or exchanges for change of mind.

This includes situations where a customer no longer wants the product, orders the wrong product or decides that the product does not suit their personal preferences.

This change-of-mind policy does not apply where a product is faulty, damaged, incorrect, significantly different from its description or otherwise fails to meet an applicable consumer guarantee.

Please inspect your order when it arrives. Initial faults, delivery damage or incorrect items should be reported within 7 calendar days of delivery where reasonably possible.

The 7-day notification request does not limit or exclude rights under Australian Consumer Law, including rights relating to faults that become apparent later.

SECTION 7 — AUSTRALIAN CONSUMER LAW

Our products come with consumer guarantees that cannot be excluded under Australian Consumer Law.

If a product fails to meet an applicable consumer guarantee, you may be entitled to a repair, replacement, refund, compensation or another remedy, depending on the circumstances and as required by law.

Nothing in these Terms, our Return & Refund Policy or any other store policy excludes, restricts or modifies any right or remedy that cannot legally be excluded, restricted or modified.

SECTION 8 — INTELLECTUAL PROPERTY

The Services and their content, including our brand name, logos, product names, text, photographs, graphics, videos, audio, website design and arrangement, are owned by or licensed to RINGS Watch and are protected by applicable intellectual property laws.

You may access and use the Services for personal, non-commercial shopping purposes.

Without our prior written permission, you must not reproduce, distribute, modify, republish, commercially exploit or create derivative works from our content, except where permitted by law.

The Shopify name, logo and related trademarks belong to Shopify. Other names and trademarks displayed through the Services belong to their respective owners.

SECTION 9 — THIRD-PARTY SERVICES AND LINKS

We may provide access to tools, applications, payment services, social media functions or websites operated by third parties.

Third-party services are governed by the applicable provider’s own terms and privacy policies. We do not control and are not responsible for the content, availability, privacy or security practices of third-party websites or services.

You should review the applicable terms and policies before using a third-party service or completing a transaction with a third party.

Nothing in this section excludes any responsibility that cannot legally be excluded.

SECTION 10 — RELATIONSHIP WITH SHOPIFY

RINGS Watch is powered by Shopify, which provides the ecommerce platform used to deliver the Services.

Purchases made through our store are transactions directly between you and RINGS Watch. Shopify is not the seller of our products and is not responsible for fulfilling your order or providing remedies relating to our products.

To the extent permitted by law, Shopify and its affiliates are not liable for claims arising solely from a transaction between you and RINGS Watch.

SECTION 11 — PRIVACY

The content does not violate another person’s intellectual property, privacy or other rights
You have disclosed any payment, gift or incentive received in connection with the content
The content does not contain unlawful, abusive, defamatory, obscene or malicious material

You grant RINGS Watch a non-exclusive, worldwide, royalty-free licence to use, reproduce, translate, edit, publish and display User Content for operating, improving and promoting the Services.

We may remove User Content that violates these Terms or applicable law.

SECTION 13 — ERRORS AND INACCURACIES

Occasionally, the Services may contain typographical errors, inaccuracies or omissions relating to product descriptions, prices, promotions, availability, shipping charges or delivery estimates.

We may correct genuine errors and update information where reasonably necessary.

If a genuine error affects an order you have placed, we will contact you and provide an appropriate option, such as confirming the corrected order or receiving a refund.

Nothing in this section limits rights available under applicable consumer law.

SECTION 14 — PROHIBITED USES

You must not use the Services:

For any unlawful, fraudulent or malicious purpose
To violate applicable laws or regulations
To infringe intellectual property, privacy or other rights
To harass, threaten, defame or harm another person
To submit false or misleading information
To transmit viruses, malware or harmful code
To collect another person’s personal information without authorisation
To send spam, phishing messages or unauthorised advertising
To interfere with or circumvent the security of the Services
To scrape, copy or commercially exploit the Services without permission

We may restrict or terminate access where we reasonably believe these Terms or applicable law have been violated.

SECTION 15 — AVAILABILITY OF THE SERVICES

We aim to keep the Services accurate, secure and available, but we cannot guarantee uninterrupted or error-free access.

The Services may occasionally be unavailable due to maintenance, technical problems, network failures or circumstances outside our reasonable control.

We may update, suspend or discontinue parts of the Services where reasonably necessary.

SECTION 16 — DISCLAIMER AND LIMITATION OF LIABILITY

To the maximum extent permitted by law, RINGS Watch is not liable for indirect, incidental, special or consequential loss arising from use of the Services where that loss was not reasonably foreseeable.

We are not responsible for loss caused by:

A customer providing inaccurate information
Misuse of a product
Unauthorised access caused by a customer failing to protect account credentials
Events outside our reasonable control

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, personal injury caused by negligence, or any consumer guarantee, right or remedy that cannot be excluded under Australian Consumer Law or other applicable law.

Where our liability can legally be limited, it will be limited only to the extent permitted by applicable law.

SECTION 17 — INDEMNITY

To the extent permitted by law, you agree to compensate RINGS Watch for reasonable losses resulting directly from your unlawful use of the Services, your material breach of these Terms or your infringement of another person’s rights.

This section does not apply to losses caused by RINGS Watch, Shopify or their respective employees, contractors or service providers.

SECTION 18 — TERMINATION

You may stop using the Services at any time.

We may suspend or terminate your access where we reasonably believe you have materially violated these Terms, used the Services unlawfully or created a security risk.

Termination does not affect rights or obligations that arose before termination, including payment obligations and consumer rights.

Provisions that are intended to continue after termination, including those concerning intellectual property, privacy, liability and governing law, will continue to apply.

SECTION 19 — SEVERABILITY

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be limited or removed only to the minimum extent necessary.

The remaining provisions will continue to apply.

SECTION 20 — WAIVER AND ENTIRE AGREEMENT

If we do not immediately enforce a provision of these Terms, this does not mean that we waive our right to enforce it later.

These Terms and the policies referenced in them form the agreement between you and RINGS Watch regarding use of the Services.

They replace previous versions of these Terms concerning the same subject matter.

SECTION 21 — GOVERNING LAW

These Terms are governed by the laws of Japan.

However, this choice of law does not exclude or limit any mandatory consumer protection available to you in the country or region where you live, including rights under Australian Consumer Law.

Any dispute will be handled by a court with lawful jurisdiction, subject to any rights you have under applicable consumer law.

SECTION 22 — CHANGES TO THESE TERMS

We may update these Terms to reflect changes to our Services, business practices or legal obligations.

We will update the “Last updated” date and provide notice where required by law.

Changes will not reduce rights that have already arisen under an order placed before the change.
